Terms of Use

This Terms of Use agreement, as amended from time to time (“Agreement”), is between Landinski LLC, a Florida limited liability company doing business as TruArt (“TruArt,” “we,” “us,” or “our”), and you (“you” or “User”). By accessing or using truart.org (the “Website”), submitting artwork, or making a purchase, you agree to comply with and be bound by this Agreement.

If you do not agree to these terms, you may not use the Website.


1. ABOUT TRUART

TruArt operates two primary services:

  1. Open Call Submission Platform – Artists may submit artwork for review and potential selection.
  2. Marketplace – A curated marketplace where selected artworks may be offered for sale. TruArt operates as an intermediary, earning a commission on sales while artists retain ownership.

2. ELIGIBILITY

You must be at least 18 years of age to submit artwork or purchase products. By using the Website, you represent and warrant that you meet this requirement.


3. OPEN CALL SUBMISSIONS

3.1 Artist Representations

By submitting artwork, you represent and warrant that:

  • You are the sole creator and lawful copyright holder.
  • Your submission does not infringe any third-party rights.
  • Your submission complies with this Agreement and all applicable laws.

3.2 License to TruArt

By submitting artwork, you grant TruArt a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to:

  • Display, reproduce, publish, and distribute your artwork on the Website
  • Use it in promotional, editorial, and marketing materials
  • Share it across digital platforms and social media
  • Crop, resize, edit, or format the artwork for display and layout purposes

You retain all remaining ownership rights.

3.3 Selection and Rejection

TruArt may accept or reject any submission for any reason.

3.4 Additional Opportunities (Not Guaranteed)

At its sole discretion, TruArt may offer select artists additional opportunities, which may include:

  • Promotion to TruArt’s circle of investors and private collectors
  • Promotion or display in partner galleries, exhibitions, or art fairs
  • Sponsorship opportunities through corporate partners
  • Inclusion in curated collections, editorials, newsletters, or social media
  • Participation in special projects or collaborations

These opportunities are entirely discretionary and are not guaranteed. Submission to the Open Call does not entitle any artist to participation in these or similar programs. TruArt may modify or discontinue any promotional offering at any time.


4. ART MARKETPLACE

4.1 Marketplace Model

TruArt operates as a marketplace. Artists retain ownership until a sale occurs. TruArt facilitates listings, promotion, customer service, and sales on a commission basis.

4.2 Fulfillment

TruArt generally handles shipping and fulfillment. In some circumstances, fulfillment may be coordinated directly with the artist. Fulfillment terms will be clearly indicated on each product listing.

4.3 Promotion Through Partners

At its discretion, TruArt may promote, exhibit, or display selected works through partner galleries, art fairs, private events, or exhibitions. TruArt may coordinate and manage shipping, logistics, and representation for such programs.

Participation is not guaranteed and may require the artist to accept additional terms.

4.4 Investor Network Promotion

TruArt may present selected artworks to its network of investors, collectors, and private buyers. Such promotion is discretionary and does not guarantee interest, sales, or exposure.


5. PURCHASES, PAYMENT & RETURNS

5.1 Guest Checkout

The Website operates with guest-only checkout. Users do not create accounts.

5.2 Payment

Payments are processed through Stripe and PayPal. By making a purchase, you agree to their terms and policies.

5.3 Returns & Refunds

TruArt accepts returns only for items damaged during shipment, and only if:

  • You notify TruArt within 3–7 days of delivery,
  • You provide proof of the damage.

Except for qualifying damaged items, all sales are final. No returns. No refunds.


6. PROHIBITED USES

Users must not:

  • Upload unlawful, infringing, or misappropriated content
  • Interfere with Website functionality
  • Use automated tools to scrape or collect data
  • Impersonate others or misrepresent information
  • Engage in conduct that harms TruArt, its users, or artists

TruArt may suspend or terminate access for violations.


7. INTELLECTUAL PROPERTY RIGHTS

All content on the Website—excluding artist-submitted artwork—is owned by or licensed to TruArt and protected by copyright, trademark, and related laws.

No content may be copied, reproduced, or distributed without prior written permission.


8. DISCLAIMER OF WARRANTIES

The Website and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.


9. LIMITATION OF LIABILITY

To the fullest extent permitted by Florida law, TruArt and its affiliates are not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Issues arising from artwork quality, authenticity, or copyright ownership
  • Acts or omissions of artists, couriers, third-party partners, or service providers

TruArt’s total liability will not exceed the amount paid for the artwork or service giving rise to the claim.


10. INDEMNIFICATION

You agree to indemnify and hold harmless TruArt from any claims, liabilities, damages, losses, and expenses arising out of:

  • Your violation of this Agreement
  • Your submitted artwork
  • Your misuse of the Website

11. THIRD-PARTY SERVICES

TruArt uses third-party service providers, including payment processors, analytics tools, CRMs, and shipping partners. Use of the Website constitutes acceptance of the terms and policies of these third parties.


12. PRIVACY POLICY

Your use of the Website is governed by TruArt’s Privacy Policy, which is incorporated by reference.


13. GOVERNING LAW

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.


14. DISPUTE RESOLUTION

All disputes must be brought exclusively in the state or federal courts of Florida. Users consent to personal jurisdiction in these courts.


15. CHANGES TO THE AGREEMENT

TruArt may modify this Agreement at any time by posting an updated version on the Website. Continued use after changes constitutes acceptance.
